Terms and conditions

1. Who we are and key definitions
mediasimpel (“we”, “us”) provides digital services such as websites, online shops, hosting, design and online marketing. We are registered with the Dutch Chamber of Commerce under number 73133477, VAT number NL001978844B65 and are based at Paganinidreef 54, 2253SJ Voorschoten. Contact: hello@mediasimpel.nl.
In these terms:
- One-off project costs are charges for work carried out once, such as building a website, creating a logo or setting up a campaign.
- Subscription means ongoing monthly services, such as hosting, a domain, email, maintenance and access to the mediasimpel dashboard.
- Payment plan means an agreement to pay one-off project costs in instalments.
- Handover is when you may download your website’s source code and files and move them elsewhere.
2. Applicability
These terms apply to every quote, order and agreement with mediasimpel. For online orders, our ordering terms also apply. Exceptions are valid only if we confirm them in writing. If a provision is invalid, the remaining provisions stay in force; we will replace the invalid provision with a valid one that comes as close as possible to its intended purpose.
3. Quotes and formation of the agreement
A quote created in the configurator is non-binding and valid for 30 days by default. The agreement is formed when you place an order and we confirm it by email or in your account. Each order includes a contract summary listing the key terms: what you are ordering, the cost and the payment method you selected.
4. Prices
Prices are in euros and exclude VAT. Before you pay, we show VAT and the total including VAT. We distinguish one-off project costs from ongoing monthly services (hosting, email inboxes, maintenance and dashboard access). We may adjust subscription prices annually. We will notify you at least one month in advance; you may cancel the subscription before the increase takes effect.
5. Payments and payment methods
Payments are processed by our payment provider, Mollie. Depending on your order, you may choose from the following methods:
- Pay in full. You pay the full one-off amount immediately, for example by iDEAL.
- In 3 instalments (order without a subscription). For orders between € 50,00 and € 5.000,00, you can pay in 3 instalments using in3. Always 0% interest and no hidden fees. The in3 terms apply.
- In 3 instalments (order with a subscription). You pay the first instalment at checkout; that payment also establishes a SEPA direct debit mandate. We then collect the remaining instalments monthly under the same mandate. Always 0% interest and no hidden fees.
- Subscription. Monthly amounts are collected in advance by SEPA direct debit. By agreeing, you authorise these collections.
If you choose to pay in instalments, you enter a fixed payment plan for the selected term. The one-off project amount remains payable until it has been paid in full and cannot be cancelled early, even if you stop your hosting or services. Larger projects can be paid in instalments from € 500,00; the deposit is always at least € 250,00.
6. Late or missed payments
If a direct debit fails or an instalment is not paid, we will try to collect it again and contact you. If payment remains outstanding, we will send a reminder with a reasonable period to pay. After that, we may:
- suspend our services (temporarily take your website, email or dashboard offline or restrict access) until payment is received;
- claim the full outstanding balance of a payment plan at once; and
- charge statutory collection costs and interest under the Dutch Collection Costs Act.
Suspension does not remove your obligation to pay. We will restore the services once all amounts are paid.
7. Ownership and website handover
Until all one-off project costs have been paid in full, the website, its design and associated files remain the property of mediasimpel. During that period, you have the right to use the website for your business and it will continue to run.
We release your website's source code and files once all one-off project costs have been paid in full. You can then download everything and move your website elsewhere.
- Handover includes the source code or website package, the text and images made for you or supplied by you, and an export you can host elsewhere.
- Handover excludes non-transferable third-party licences (such as stock images, premium plugins or fonts) and our internal tools or mediasimpel dashboard.
- If you pay in instalments, handover takes place after the final instalment is received. If you pay in full, we hand over after delivery and receipt of the full amount.
8. Subscriptions and cancellation
Ongoing services, hosting, email inboxes and maintenance can be cancelled monthly. Cancellation takes effect at the end of the current month. You can cancel through your account or by emailing hello@mediasimpel.nl.
Minimum term with the platform price. Website packages have two prices: one with mediasimpel Platform and one for your own hosting. If you choose the platform price, your platform subscription has a minimum term of 12 months. After that, it can be cancelled monthly as described above.
When a subscription ends:
- Hosting, email and dashboard access stop at the end of the last paid month. Your website then goes offline unless you move it elsewhere.
- At your request, we can help with migration, including a website export and moving your domain. Domains registered in your name remain yours.
- One-off project costs, including costs being paid in instalments, cannot be cancelled. Stopping services does not end an active payment plan.
9. Final statement when cancelling
If you cancel a subscription while one-off costs remain payable in instalments or services are included in your monthly amount, you will receive a final statement for the outstanding balance. The final statement may include:
- Outstanding payment-plan instalments. The remaining one-off project costs become due at once when you cancel. Your website is handed over only after full payment (section 7).
- Services included in your monthly amount. If a package or offer includes one-off work partly in the monthly amount, we calculate the proportion that has not yet been recovered and include it in the final statement. The offer and contract summary explain how this works for each package.
- Current month and usage. We do not refund the current month; any additional services already delivered will still be invoiced.
We email you an itemised final statement. Payment is due within 14 days using your last known payment method or a payment link.
10. Consumer cooling-off period
If you order as a consumer, you have a statutory cooling-off period of 14 days. If you ask us to start immediately, you agree that your right to withdraw ends once the service has been fully delivered; we may charge a proportionate amount for work already completed. See the ordering terms for the full arrangement.
11. Working together, supplying materials and approval
Lead times are estimates. To help us deliver smoothly, provide the required text, images and access on time. The step-by-step process is described in Working with mediasimpel.
- Give feedback and approval through your account. If you do not respond to a delivered version for more than 14 days, we may treat it as accepted after sending you a reminder.
- If required materials are not supplied for more than 30 days, we may pause the project or deliver it with temporary text and images. Ongoing payment arrangements continue.
- You are responsible for ensuring that supplied materials do not infringe anyone else’s rights, such as copyright in images or text.
12. Hosting, maintenance and availability
We work to keep hosted websites available, but do not guarantee uninterrupted operation. Where possible, we will announce scheduled maintenance in advance. We make backups periodically and restore from the latest available backup if there is an outage. Misuse, unlawful content or serious overloading may lead to hosting being suspended.
13. Intellectual property
After full payment, you receive the rights to use the work we made specifically for you (section 7). Our own tools, reusable components, boilerplates and dashboard remain the property of mediasimpel. We may show delivered work in our portfolio unless you object.
14. Liability
Our liability is limited to the amount paid for the relevant assignment or, for subscriptions, the fees for the previous three months. We are not liable for indirect loss, such as lost revenue or loss of data that you did not supply or safeguard yourself. Nothing in these terms limits liability that cannot legally be excluded.
15. Force majeure
In the event of force majeure, such as outages at hosting providers, internet failures or other circumstances beyond our control, our obligations are suspended for as long as the situation continues. If force majeure lasts more than 60 days, either party may terminate the agreement for the part not yet performed.
16. Privacy and data
Our privacy statement explains how we handle personal data. If we process personal data on your behalf, for example data about visitors or customers of your website, we act as processor and you act as controller. We can enter into a data processing agreement at your request.
17. Changes to these terms
We may change these terms. For ongoing subscriptions, we will announce material changes at least one month in advance. If you disagree, you may cancel the subscription before the change takes effect. The date above shows the latest version.
18. Governing law
Dutch law applies to our agreements. Disputes will be submitted to the competent court in the district where we are established. If you are a consumer, you may also choose a court that has jurisdiction under the law.
